The sole shareholder of the Company is the Committee for Construction and Housing and Communal Services of the Ministry of Industry and Construction of the Republic of Kazakhstan, exercising, on the basis of the relevant act of acceptance-transfer, the rights to own and use 100% of the state block of shares of the Company.

The Board of Directors is a management body of the Company, which carries out general management of the Company's activities, except for the issues referred by the legislation of the Republic of Kazakhstan and the Charter of the Company to the exclusive competence of the Sole Shareholder of the Company or the General Director of the Company. Decisions of the Board of Directors shall be made in the order determined by the Charter of the Company, Code of Corporate Governance of the Company and Regulations on the Board of Directors of the Company.

The Board of Directors shall be responsible to the Sole Shareholder for general management of the Company's activity.

Shokbarov Eraly Meirambekovich was born in April 1978. In 2000 he graduated from the Kazakh State Academy of Architecture and Construction in Almaty, specializing in Civil Engineer.

In 2010, by the decision of the Committee for control in the field of education and science of the Ministry of Education and Science of the Republic of Kazakhstan awarded the degree of Candidate of Technical Sciences.

He is a specialist in calculation and design of building structures, assessment of earthquake resistance of buildings and structures and protection of structures from earthquakes, elimination of consequences of earthquakes and natural disasters.

He has published more than 20 scientific papers, including scientific articles in periodicals, reports for various international conferences.

Миссия Внутреннего аудитора заключается в оказании необходимого содействия Совету директоров и Исполнительному органу Общества в выполнении их обязанностей по достижению стратегических целей Общества.

Основной целью деятельности Внутреннего аудитора является предоставление Совету директоров независимых и объективных гарантий и консультаций, направленных на совершенствование систем управления рисками, внутреннего контроля и корпоративного управления в Обществе.

Основными задачами Внутреннего аудитора являются:
1) оценка и содействие совершенствованию системы внутреннего контроля;
2) оценка и содействие совершенствованию системы управления рисками;
3) оценка риска совершения мошенничества и эффективности управления риском мошенничества;
4) оценка и содействие совершенствованию системы корпоративного управления;
5) оценка достоверности, полноты, объективности системы бухгалтерского учета и надежности финансовой отчетности;
6) оценка выполнения требований законодательства Республики Казахстан, требований внутренних нормативных документов Общества;
7) оценка рациональности и эффективности использования ресурсов, а также применяемых методов (способов) обеспечения сохранности активов;
8) методологическое обеспечение Внутреннего аудитора.

Внутренний аудитор, в соответствии с возложенными на него задачами, в установленном порядке выполняет следующие функции:
1) разработка риск-ориентированного годового аудиторского плана на соответствующий год, и при необходимости инициирование внесения в него изменений;
2) выполнение аудиторских заданий в соответствии с основными задачами Внутреннего аудитора и годовым аудиторским планом;
3) проведение внеплановых аудиторских заданий на основании соответствующего решения Совета директоров, предварительно одобренного Комитетом по аудиту;
4) в исключительных случаях на основании соответствующего решения Совета директоров, с предварительного одобрения Комитета по аудиту, участие в служебных расследованиях, специальных проверках;
5) предоставление Совету директоров и Комитету по аудиту на регулярной основе отчета о деятельности Внутреннего аудитора по итогам отчетного периода (квартала, года);
6) предоставление консультаций Исполнительному органу, работникам Общества по вопросам управления рисками, внутреннего контроля и корпоративного управления (при условии сохранения независимости и объективности деятельности Внутреннего аудитора);
7) разработка и актуализация внутренних нормативных документов, регламентирующих деятельность Внутреннего аудитора (методологии внутреннего аудита) в соответствии с требованиями Международных профессиональных стандартов внутреннего аудита;
8) обмен информацией, координирование деятельности с другими внутренними и внешними сторонами, проводящими проверки и оказывающими консультационные услуги, и рассмотрение возможности использования результатов их работы в пределах компетенции Внутреннего аудитора;
9) мониторинг исполнения Обществом, выданных и принятых в установленном порядке, по результатам проведенных аудитов;
10) мониторинг исполнения Обществом рекомендаций внешнего аудитора и иных проверяющих государственных органов;
11) непрерывное профессиональное развитие;
12) рассмотрение жалоб, писем, обращений по вопросам, входящим в компетенцию Внутреннего аудитора;
13) иные функции, необходимые для реализации задач, возложенных на Внутреннего аудитора Положением о Внутреннем аудиторе Общества.
